Neighborhood Intelligence, previously known as Bed Bath & Beyond Inc., has called off its plan to acquire F9 Brands. Initially, this $150 million acquisition was set to include F9 Brands-owned Cabinets To Go and Lumber Liquidators, amongst other companies, into its expanding portfolio.
Cancelled Acquisition Details
The transaction was terminated after Neighborhood Intelligence concluded that F9 Brands could not fulfil the necessary conditions within the specified timeframe. The announcement was made public through a press release on Tuesday, citing the unmet conditions as a critical issue.
Marcus Lemonis, the executive chairman of Neighborhood Intelligence, expressed, “We continuously evaluate potential opportunities, and this was one of several transactions under consideration that we decided not to proceed with. We determined that the inability of the seller to meet closing conditions prevented us from securing the confidence needed for our acquisitions. Our focus remains on leveraging the Home Services platform driven by Elfa, Closet Works and SFV Construction Services and targeting opportunities that align with our strategic, financial, and operational criteria.”
Strategic Direction and Company Portfolio
Current holdings under Neighborhood Intelligence’s extensive umbrella include well-known retail brands such as Bed Bath & Beyond, Overstock, BuyBuy Baby, Kirkland’s, The Container Store, along with Elfa and Closet Works. The firm is keen on enhancing the Elfa-branded home solutions offerings as part of its growth strategy.
Had the deal gone through, Jason Delves, the president and CEO of F9 Brands, was anticipated to lead the newly designated “Beyond Home Services” division within Neighborhood Intelligence, according to a prior announcement made in April.
Ongoing Business Expansion
In a broader context, Neighborhood Intelligence has been actively pursuing acquisitions in 2023 as part of its strategy to diversify beyond its retail roots. This includes the potential acquisition of real estate platform Fathom Holdings. However, Neighborhood Intelligence has yet to provide a status update regarding this particular transaction.
