Neighbourhood Intelligence updates Fathom agreement

Neighbourhood Intelligence, formerly known as Bed Bath & Beyond Inc., is revisiting its original agreement with real estate platform Fathom Holdings, first announced in June. The proposed reorganisation aims to utilise nearly the entirety of Neighbourhood Intelligence’s digital assets, which include a significant stake in the tZero Group, assets related to Medici, and an investment in GrainChain.

Amended Deal Terms and Valuation Details

The revised proposal seeks to modify the initial merger agreement, attributing a minimum of $130 million in value to the digital asset contributions. In exchange, Neighbourhood Intelligence will receive newly issued shares of Fathom, ensuring its continued controlling interest. The specific number of shares will be finalised as negotiations progress.

Despite a decline in Fathom’s share price since June, Neighbourhood Intelligence Executive Chairman and CEO Marcus Lemonis emphasised the value generated by Fathom’s brokerage and title businesses in the same period. The new structure recognises these developments and the significant value within the digital assets Neighbourhood Intelligence plans to contribute.

Strategic Advancements and Shared Goals

In addition to reshaping the deal, the reworked proposal grants Fathom the capability to pursue acquisitions that would enhance its core operations. The companies highlighted the alignment of real estate with tZERO’s digital securities infrastructure, which could lead to innovations such as tokenisation of real estate assets and more adaptable capital structures. Potential applications might also include title services and individual homeownership solutions.

Previous Agreements and Strategic Shifts

The reconsideration of the Fathom partnership comes shortly after Neighbourhood Intelligence discontinued another acquisition involving F9 Brands, citing unmet closing prerequisites. This $150 million deal aimed at expanding beyond traditional retail into home services and ownership sectors.

Prior strategic moves included agreements with The Container Store and The Brand House Collective, formerly known as Kirkland’s Inc, reflecting Neighbourhood Intelligence’s broader intent to diversify its business identity.

While neither company has provided further comments or a timeline for the deal’s completion, the initial June agreement valued Neighbourhood Intelligence’s acquisition of Fathom at approximately $53 million, with an expectation of closure by the year’s end.
